Your access to and use of our services, applications, APIs, websites, and interfaces (collectively, the “Services”) are strictly governed by these Terms of Service (“Terms”). The Services may be accessed via web browsers, desktop/mobile interfaces, or third-party integrations.

Passive Intermediary Status & User Liability: LimeTransfer operates strictly as an automated, passive technical conduit and intermediary hosting service provider under the EU Digital Services Act (Regulation (EU) 2022/2065), the EU e-Commerce Directive (2000/31/EC), and the US Digital Millennium Copyright Act (17 U.S.C. § 512). The Services allow users to upload, store, and share digital content. LimeTransfer does not pre-screen, verify, inspect, curate, or endorse any user-uploaded content. You retain 100% sole, exclusive civil, criminal, and financial liability and legal responsibility for all files, data, and content you upload, transmit, or share.

LimeTransfer does not claim ownership of your content. The Services are provided to you solely as an ephemeral transmission utility.

1. Applicability

1. You are only allowed to use the Services if you are 16 years of age or older (or the age of legal majority in your jurisdiction).
2. Please read these Terms carefully. By accessing, browsing, uploading to, or using the Services (directly with us or through third-party integrations), you unconditionally agree to and are legally bound by these Terms.
3. If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. If the Services integrate with third-party software, their terms and privacy policies may apply concurrently. LimeTransfer is not responsible for any third-party services, tools, or policies.
4. If you wish to report unlawful, infringing, or harmful content hosted or shared via the Services, please submit an immediate notice to our designated abuse department at abuse@limetransfer.com.
5. LimeTransfer reserves the right to amend or update these Terms at any time. Amended Terms become effective immediately upon being published on the platform. Continued use of the Services following any changes constitutes your binding acceptance of the updated Terms.
6. These Terms supersede all prior oral or written agreements, representations, and communications between you and LimeTransfer.

2. LimeTransfer File Sharing & Ephemeral Transit Nature

1. LimeTransfer File Sharing allows users to transfer digital files to designated recipients via email delivery (“email transfer”) or by generating a unique download link for user-controlled distribution (“link transfer”).
2. Ephemeral Transit — No Backup or Archival Service: LimeTransfer is strictly an ephemeral file transit utility. Uploaded content is stored on our servers for a strictly limited retention period, after which the transfer link expires automatically.
3. Irreversible Permanent Deletion: Upon link expiration, cancellation, or user deletion, LimeTransfer permanently and irreversibly erases the uploaded files from all active storage arrays. Deleted files cannot be retrieved, reconstructed, or restored under any circumstances.
4. The basic functionality of LimeTransfer is available free of charge and without mandatory user registration.
5. LimeTransfer treats uploaded content as confidential and does not publicly index or catalog transfer links. However, recipients who possess a download link can forward it to third parties. You remain solely responsible for maintaining link privacy and sharing access only with intended recipients.
6. LimeTransfer offers various subscription tiers: a Free version and paid subscription versions (Starter, Pro, and Business). The paid tiers offer enhanced capacities, storage allotments, and extended feature sets:
• Free Tier: Maximum upload limit of 5 GB per transfer and a bandwidth allotment of 10 GB per user per month.
• Starter: Up to 25 GB upload per transfer, 50 GB cloud storage, link expiration up to 1 month, data encryption, and password protection.
• Pro: Up to 50 GB upload per transfer, 200 GB cloud storage, link expiration up to 3 months, self-destructing links, custom background branding, ad-free experience, and all Starter security features.
• Business: Up to 100 GB upload per transfer, 500 GB cloud storage, customizable file expiration up to 12 months or permanent non-expiring links (active while subscription is maintained), all Pro features, and team sub-user management.
7. LimeTransfer reserves the right to automatically and permanently purge all content associated with any paid subscription (Starter, Pro, or Business) that remains on our servers 7 days after the paid subscription expires, is cancelled, or is downgraded to the Free tier.
8. Business subscriptions allow the Account Owner to create, invite, and administer sub-user team accounts within the assigned Business plan quotas.
9. The subscription billing cycle commences on the date of completed registration and successful payment.

3. Payment Conditions

1. Paid subscription terms commence immediately once applicable subscription fees have been settled in full.
2. Subscription rates may be updated from time to time upon prior notification. For fixed-term subscriptions, current pricing remains locked until the expiration of the active term. Continuing to use the Services after an updated rate takes effect constitutes agreement to the updated pricing.
3. Third-party payment gateways and financial institutions may apply their own processing, currency conversion, or transaction fees.
4. You may update your payment information at any time through your account settings dashboard.
5. In the event of payment failure, expired credentials, or chargebacks, LimeTransfer may suspend or terminate account access and immediately withhold or purge stored content without liability.

4. Term and Cancellation

1. Subscription terms renew automatically at the end of each billing cycle unless cancelled prior to the renewal date.
2. In the event of cancellation, your account remains active with premium privileges until the conclusion of the paid term, after which it transitions to standard Free tier status.
3. Except where mandatory consumer protection laws dictate otherwise, subscription fees are non-refundable.
4. If a deactivated or expired account is not reactivated within 28 days (4 weeks), any associated stored files, custom settings, address book contacts, and transfer logs will be permanently and unrecoverably purged from our systems.

5. Business & Team Sub-Users

1. The primary Account Owner is billed for and maintains supervisory responsibility over all sub-users registered under the Business account.
2. The Account Owner may add or revoke team seats within the limits of their active plan.
3. Upon subscription cancellation, all team members retain access through the paid cycle, after which their accounts revert to standard individual free accounts.

6. Content Ownership, User Representations & Absolute Disclaimer

1. Zero Ownership & Sole User Responsibility: LimeTransfer claims zero ownership, title, or interest in any files, data, graphics, video, text, or content uploaded, stored, or shared by users. The user who initiates or transmits an upload bears 100% sole, exclusive civil, criminal, and financial liability for the content of that upload and its consequences.
2. Warranty of Full Legal Rights: By uploading or transmitting any file via the Services, you explicitly warrant and represent that you own all necessary copyrights, trademarks, licenses, and permissions, or possess explicit lawful authorization from the rightful owner, to store, distribute, transfer, and make available the content.
3. Absolute Disclaimer of Third-Party Content: LimeTransfer does not inspect, review, verify, approve, or endorse any user-uploaded files. Under no circumstances shall LimeTransfer, its owners, operators, directors, or hosting partners be held liable for any copyright infringement, trademark violation, confidential data breach, or civil/criminal wrongdoing arising from user-uploaded materials.
4. Limited Technical License: Solely for the technical purpose of executing, routing, and delivering transfers (and creating transient file icons/previews where applicable), you grant LimeTransfer a non-exclusive, worldwide, royalty-free technical license to receive, buffer, replicate across distributed storage nodes, transmit, and delete the files in accordance with these Terms. LimeTransfer does not sell, license, inspect, or commercially exploit user content.
5. No Public Directory: LimeTransfer does not offer a public search engine, directory, or public catalogue of user files. Transfers are private and accessible solely via direct links.

7. Strict Prohibitions & Zero-Tolerance for Illegal Content

1. LimeTransfer enforces an uncompromising zero-tolerance policy against any illegal, abusive, harmful, or infringing activities.
2. You are strictly prohibited from uploading, hosting, transmitting, or sharing any content that:
• features Child Sexual Abuse Material (CSAM / CSAE) or any form of child sexual exploitation (which will trigger immediate IP preservation and mandatory reporting to law enforcement and NCMEC);
• promotes terrorism, violent extremism, mass violence, human trafficking, or illegal weapons trafficking;
• infringes, misappropriates, or violates intellectual property rights, copyrights, trademarks, patents, or trade secrets of any party;
• contains malware, trojans, viruses, ransomware, spyware, keyloggers, rootkits, exploit payloads, or malicious scripts designed to compromise computer systems;
• facilitates phishing, identity theft, financial fraud, unauthorized credential harvesting, or extortion;
• contains stolen personal data, non-consensual intimate imagery, doxxing material, or confidential private records in breach of GDPR or privacy laws;
• is defamatory, obscene, harassing, threatening, or constitutes unlawful hate speech under applicable international or European legislation.

3. Additionally, you agree NOT to:
• probe, scan, or attempt to breach platform security, rate limits, or authentication systems;
• use automated scripts, bots, scrapers, or high-volume tools to overload or disrupt the Services;
• reverse engineer, decompile, or tamper with the underlying infrastructure or software;
• resell, redistribute, or commercially exploit the platform without express written consent.

8. Intermediary Safe Harbor, Notice & Takedown (EU DSA / DMCA) & Law Enforcement

1. Intermediary Hosting Provider Status: LimeTransfer operates strictly as a technical intermediary and hosting service provider in full accordance with the EU Digital Services Act (Regulation (EU) 2022/2065), the EU Directive 2000/31/EC, and the US Digital Millennium Copyright Act (17 U.S.C. § 512). LimeTransfer has no general legal or technical obligation to monitor user uploads or proactively inspect files for illegality.
2. Notice and Takedown Procedure: If you are a copyright holder, authorized agent, or representative of a regulatory authority and identify content on LimeTransfer that infringes your intellectual property or violates applicable law, you may submit a formal takedown notice to abuse@limetransfer.com including:
• Precise identification of the copyrighted work or legal right claimed to have been infringed;
• The exact LimeTransfer download link / URL where the material is located;
• Your full legal name, organization, physical address, phone number, and official email address;
• A formal statement of good-faith belief that the disputed material is not authorized by the rights owner, its agent, or the law;
• A statement under penalty of perjury confirming the accuracy of the notice and your authorization to act.
3. Expedited Removal: Upon receiving an actionable and substantiated notice, LimeTransfer will act expeditiously to disable access to or permanently delete the identified content.
4. Repeat Infringer Termination: LimeTransfer maintains an automated zero-tolerance policy against repeat intellectual property infringers and bad actors. We reserve the immediate right to permanently ban, terminate, and blacklist any user account, IP address, or payment method associated with repeated violations, without prior notice and without entitlement to any refund.
5. Law Enforcement Cooperation: LimeTransfer cooperates fully and proactively with judicial, regulatory, and law enforcement agencies (including the Hellenic Police Cyber Crime Division, Europol, Interpol, and international cybercrime authorities). We reserve the absolute right to preserve, log, and disclose any available transaction metadata, IP logs, timestamps, user credentials, and upload histories to competent authorities pursuant to valid subpoenas, court orders, or emergency requests involving imminent harm or heinous crimes, completely free of any liability to the user.

9. Investigation, Suspension & Deletion Rights

1. LimeTransfer reserves the unilateral right, at its sole discretion and without prior notice, compensation, or liability, to investigate suspected violations, block access to, or permanently erase any files, transfers, or accounts found to violate these Terms, infringe rights, or present technical or legal risk to the platform.

10. LimeTransfer Intellectual Property

1. All software, user interface designs, logos, trademarks, branding, audio-visual elements, custom wallpapers, and architectural assets belonging to LimeTransfer are protected by international intellectual property laws and remain the exclusive property of LimeTransfer and its licensors. You may not copy, reproduce, mirror, or reverse engineer any element of the platform.

11. Absolute Disclaimer of Warranties & Zero Liability for Data Loss

1. Services Provided Strictly “AS IS” and “AS AVAILABLE”: LimeTransfer provides the Services on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. LimeTransfer explicitly disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, or system security.
2. TOTAL DISCLAIMER OF LIABILITY FOR DATA LOSS, CORRUPTION, OR DELETION: LimeTransfer is an ephemeral file transit utility and does NOT provide archival, data backup, or permanent storage services. Under NO circumstances shall LimeTransfer, its founders, owners, operators, developers, hosting providers, infrastructure partners, or affiliates be liable for any:
• lost files, data loss, incomplete uploads, or failed download transmissions;
• data corruption, altered files, file degradation, or transmission errors;
• scheduled, automatic, premature, or accidental file deletion or link expiration;
• system downtime, server crashes, power outages, network outages, or hardware failures;
• unauthorized access, security breaches, cyberattacks, or malware infections affecting your devices or systems.
3. MANDATORY INDEPENDENT USER BACKUP OBLIGATION: You expressly acknowledge, agree, and represent that you are strictly obligated to maintain your own complete, secure, and independent local copies and backups of all files prior to and during any upload or transfer via LimeTransfer. BY USING THE SERVICES, YOU IRREVOCABLY WAIVE AND RELEASE LIMETRANSFER FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, OR LAWSUITS ARISING FROM OR RELATING TO LOST, DAMAGED, CORRUPTED, OR INACCESSIBLE FILES, DATA, OR CONTENT.

12. Comprehensive Indemnification & Strict Limitation of Liability

1. DEFENSE AND INDEMNIFICATION: You agree to defend, indemnify, and hold completely harmless LimeTransfer, its founders, owners, operators, directors, employees, contractors, agents, licensors, and affiliates from and against ANY AND ALL claims, demands, liabilities, lawsuits, judgments, losses, damages, penalties, fines, and expenses (including all legal, court, and attorney fees) arising directly or indirectly from:
(a) your access to, use of, or misuse of the Services;
(b) any content, file, data, or communication uploaded, shared, received, or stored by you or through your account;
(c) any infringement, misappropriation, or violation by you of any third-party rights, including intellectual property, copyright, trademark, privacy, or trade secret rights;
(d) your breach of these Terms, or any violation of applicable European, international, or national laws and regulations.
2. CONSEQUENTIAL DAMAGES EXCLUSION: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL LIMETRANSFER, ITS OWNERS, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, CONTRACTS, BUSINESS, GOODWILL, DATA, WORK STOPPAGE, OR COMMERCIAL REPUTATION, REGARDLESS OF THE LEGAL THEORY ASSERTED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3. AGGREGATE LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY MANDATORY LAW, LIMETRANSFER’S MAXIMUM AGGREGATE FINANCIAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO LIMETRANSFER FOR THE PAID SUBSCRIPTION SERVICE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE CLAIM, OR EXACTLY ZERO EUROS (€0.00) IF YOU ARE USING THE FREE TIER OR UNREGISTERED SERVICE.

13. Waiver, Severability & Assignment

1. LimeTransfer’s delay or failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
2. If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
3. You may not assign or transfer your rights or obligations under these Terms. LimeTransfer may assign or transfer its rights and obligations to any affiliate, subsidiary, or successor entity without restriction or requirement of consent.

14. Governing Law & Jurisdiction

1. These Terms and any disputes or non-contractual claims arising out of or in connection with them shall be governed by, construed, and enforced in accordance with the laws of Greece and the European Union, without regard to conflict of law principles.
2. Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Services shall be submitted to the exclusive jurisdiction of the competent courts of Greece, without prejudice to any mandatory consumer rights granted by the laws of your country of habitual residence.
